Service Contract Agreement
By proceeding with payment for any audio engineering services (Mixing, Mastering, Production, etc.) at Marg Lotfabadi, you (the "Client") agree strictly to the following terms and conditions (the "Agreement"). This Agreement forms a legally binding contract between the Client and Marg Lotfabadi (the "Engineer").
1. Audio Format & Quality Requirements
The Client must adhere to strict quality control guidelines when submitting multi-track sessions or stems:
- File Type: Only uncompressed WAV or AIFF files are accepted. Under no circumstances should the Client submit compressed audio formats such as MP3, M4A, or WMA, as high and low frequencies are permanently damaged in these formats.
- Bit Depth: 24-bit is the golden standard for mixing. 32-bit float is also highly recommended. 16-bit files are generally not recommended for mixing (as 16-bit is the final mastering standard for CDs).
- Sample Rate: Files must match the native sample rate of the Client's project (e.g., 44.1kHz, 48kHz, 88.2kHz, or 96kHz). Do not upsample files before sending.
- Exporting: All stems must be bounced from the exact same starting point (0:00) so they align perfectly when imported into the Engineer's DAW. All processing, limiters, and normalization on the master bus must be bypassed before exporting.
2. Payments & No-Refund Policy
Due to the irreversible expenditure of time, expertise, and digital resources involved in audio engineering, all payments are strictly final and non-refundable.
- Payment Methods: We accept Cryptocurrency (Tether/USDT), international credit/debit cards and PayPal (via Paddle), and Iranian Rial (via ZarrinPal for domestic artists).
- Commencement of Work: No work shall commence, nor will files be downloaded by the Engineer, until full payment has been successfully captured and cleared.
- Refunds: Once the payment is completed and the project enters the "Pending for download by engineer" or "In progress" phase, no refunds, chargebacks, or cancellations are permitted under any circumstances.
3. Turnaround & Delivery Times
The delivery timeline begins only after the Client has uploaded valid stems that meet the criteria in Section 1.
- Standard Delivery: The first mix/master draft will typically be delivered within 2 to 3 weeks.
- Rush Delivery: If the Client opts for "Rush Delivery" at checkout (incurring a 10% premium fee), the first draft will be delivered within 48 hours of the stem upload.
4. Revisions & Modification Limits
To maintain efficiency and project momentum, the following revision limits are strictly enforced:
- 3-Revision Maximum: Every mixing/mastering project includes a maximum of three (3) rounds of revisions.
- Consolidated Feedback: The Client must provide all feedback for a specific draft in a single, consolidated message via the Project Manager dashboard.
- Post-Revision Period: Once the 3 revisions are exhausted, the Client must either "Approve" the final version or purchase an additional revision add-on.
5. Security & Anti-Piracy Policy (Review Stage)
Marg Lotfabadi employs strict security measures to protect intellectual property during the review process:
- No Downloading During Review: During the "Waiting for your review" phase, the audio provided is for listening purposes only. The native download button and right-click functionalities are disabled.
- Prohibited Actions: Any attempt by the Client to bypass these security measures, download the raw preview file, or screen-record the audio before final approval is a direct violation of this Agreement and may result in immediate project termination without refund.
- Final Delivery: The Client will only receive the direct download link to the final, high-quality lossless master files once they formally click the "Approve (Finalize Project)" button, concluding the project.
6. Data Retention & File Deletion
To ensure optimal platform performance, we enforce a strict 45-day file retention policy for all projects:
- 45-Day Limit: All uploaded stems, reference tracks, and final delivered masters will be permanently deleted from our servers 45 days after they are uploaded or created.
- Client Responsibility: It is the Client's sole responsibility to download and securely backup their final files immediately upon project approval. We cannot recover any files after the 45-day period expires.
7. Copyrights & Credits (Engineering Services)
Upon final approval and delivery of mixing/mastering projects, the Client retains 100% of the master recording rights. However, the Client agrees to credit "Marg Lotfabadi" as the Mix/Mastering Engineer in all official metadata, streaming platforms (Spotify, Apple Music), and physical releases.
8. Non-Exclusive Beat Leases
Purchasing a "Non-Exclusive Beat Lease" grants the Client temporary, limited permission to use the instrumental. It is NOT a transfer of copyright ownership.
- Sale to Multiple Artists: Because the lease is non-exclusive, the Engineer retains the right to sell the exact same beat to multiple artists until an Exclusive License is purchased.
- Streaming Limits: The Client is permitted to distribute their finished song (vocals + beat) to streaming platforms (Spotify, Apple Music, etc.) up to a strict limit of 100,000 audio streams and 1 music video.
- Copyright & Content ID (STRICTLY PROHIBITED): The Engineer retains 100% of the copyright. The Client is strictly prohibited from registering their song with YouTube Content ID or any other digital fingerprinting service. Doing so illegally claims copyright and blocks other valid lease holders. Any violation will result in an immediate DMCA takedown.
- Exceeding Stream Limits: If the Client's song becomes a hit and surpasses the 100,000 stream limit, this lease agreement instantly becomes void. The Client must return to the website and purchase a new lease, or purchase the Exclusive Rights (if still available) to continue distributing and monetizing the track.
